Role Description

This is an amazing opportunity to take on the position of Head of Legal in an established iGaming company. The position will be based in Malta (hybrid) from the office at Avenue 77 in Birkirkara. The person will work with the whole business of the Acroud group, which is listed at Nasdaq Growth Market in Stockholm. Consequently, the Head of Legal will work with both the Affiliate Segment (Casino & Sports Betting) and The Super affiliate & Software Segment (comprising Matching Visions and Voonix).

The Head of Legal will report directly to the CFO but will work very closely with Operations including the CEO and operational management of all the subsidiaries in the group. The Head of Legal will not have any direct reporting peers but will work closely with all functions in Acroud and coordinate legal resources / consultants internationally when needed in different matters.

The main focus of the role is also to advise and give support to the business with expert and strategic advice on legal, compliance, capital markets, regulatory, MAR (Market Abuse Regulation) and M&A matters.

This is a full-time hybrid role for a Head of Legal located in Birkirkara. The Head of Legal will be responsible for overseeing all legal issues and legal compliance within the company, providing legal consulting, preparing legal documents, and managing related legal tasks on a daily basis.

Main Responsibilities:

  • Advising on questions on legal, regulatory, capital markets, and the MAR (Market Abuse Regulation) related matters
  • Responsible for compliance function of the group ensuring licenses and regulations are followed minimizing business risk for Acroud
  • Draft, review and enforce contracts/agreements. Prepare and improve internal template agreements to streamline the process for concluding contracts within efficient time-frame vital for operations
  • Following regulative development on global level within iGaming and coordinate licensing processes (together with advisors) on markets such as the US market to ensure Acroud is compliant to regulations
  • Communicating and negotiating together with CFO with external parties, such as regulators, external counsels, clients, authorities and similar
  • Managing in-house legal projects and responsible for implementing agreement data base and storage
  • Coordinate and handling potential disputes, litigations, etc. with external parties.
  • Assist HR in the drafting of employee and consultant contracts, termination agreements or any other agreements that may be necessary
  • Provide legal counsel on Maltese Employment Law to the HR Manager as may be necessary
  • Provide training and support to stakeholders about various legal issues that may be of interest to the business
  • Contract interpretation and enforcement (including listing requirements) and develop corporate policies together with CFO
  • Advising the Group on IP related questions
  • Together with CFO manage the preparation, review and revisions of Letters of Intent, Asset Purchase Agreements, Stock Purchase Agreements, Merger Agreements, Joint Venture Agreements, Investment Agreements and all related ancillary transaction documents, instruments and agreements related to M&A transactions
  • Manage the process of gathering and integrating other functional advisors and stakeholder input on deal documentation and regularly participate in and/or, where appropriate, lead the negotiation process
  • Together with CFO manage and coordinate transaction signings and closings, as the case may be in collaboration with external legal advisors
  • Manage and execute shareholder meetings
  • Assist in the drafting of employee and consultant contracts, termination agreements or any other agreements that may be necessary
  • Provide legal counsel on Maltese Employment Law to the Manager as may be necessary
  • Monitoring of compliance risk including recommendation of changes which would be required to keep up-to-date with the current legislation;
  • When necessary design, write and communicate legal and compliance policies and procedures for the group
  • Develop risk models involving market, credit and operational risk including ensuring that controls are operating effectively
  • Monitor and be responsible for the company to remain compliant with statutory and regulatory conditions within the jurisdictions the company operates in;
  • Report to Management regarding required changes and impact to the company, assist and engage in the application of approvals in new jurisdictions or markets as necessary.

Qualifications

  • Extensive knowledge of Law and related legal issues in the iGaming industry
  • Experience in Legal Consulting and Legal Compliance
  • Experience in Legal Document Preparation
  • Strong experience in managing legal issues in a fast-paced environment
  • High proficiency in legal research and analytical skills
  • Excellent written and verbal communication skills
  • Juris Doctor (JD) or equivalent degree in Law

Relevant skills and qualifications that would be beneficial include a high level of attention to detail, commercial acumen, the ability to work well under pressure, and excellent organizational and managerial skills. A minimum of 5 years of relevant experience in a similar role is required.
