Acroud announces intention to carry out a directed share issue

Acroud AB (publ) ("Acroud" or "the Company") today announces the intention to carry out a directed share issue of approximately SEK 80 million through an accelerated book building procedure (the “Share Issue”). The Company has engaged ABG Sundal Collier AB to explore the conditions to carry out the Share Issue. The Company’s two largest shareholders, Trottholmen AB and Strategic Investment AS, have indicated that they intend to subscribe for shares in the Share Issue corresponding to a total of no more than approximately SEK 45 million in aggregate. Trottholmen AB and Strategic Investment AS will however not receive prioritised allotment in the Share Issue.

Acroud has recently completed the acquisition of a fast growing lead generation company within Sports Betting and signed a Letter of Intent regarding the acquisition of the iGaming assets of PMG Group. The Company sees a growing list of acquisition targets, which are actively being reviewed and assessed. The Share Issue will enable the Company to act fast when attractive opportunities emerges and further strengthen the Company’s financial position.

The Share Issue

Acroud has engaged ABG Sundal Collier AB to investigate the conditions to carry out the Share Issue. The Share Issue is intended to be directed to Swedish and international professional investors. The subscription price for the new shares in the Share Issue will be determined through an accelerated book building procedure, which will begin immediately after publication of this press release and end before the commencement of trading on Nasdaq First North Growth Market on 25 November, 2020. The book building procedure may, at the discretion of the Company, be extended, close earlier or later and may be cancelled at any time.

The reason for the deviation from the shareholders' preferential rights is to broaden the ownership base in the Company and take the opportunity to raise capital on favourable terms in a time- and cost-effective manner. The Share Issue will also enable the Company to act fast when attractive opportunities for acquisitions emerges and further strengthen the Company’s financial position.
